Structure decisions compound quietly

Entity choice rarely produces a single dramatic tax bill. It produces a small annual difference that compounds for as long as the structure stays wrong — which is why owners often discover it years later.

Three decisions carry most of that weight: reasonable compensation splits, state nexus footprint, and the timing of elections.

Compensation splits

For S corporation owners, the split between salary and distribution changes payroll tax exposure directly. Too aggressive invites examination; too conservative overpays every quarter.

The defensible position is documented: role, hours, comparable market data, and consistent application year over year.

Nexus and election timing

Remote employees, inventory in a third-party warehouse, and pass-through revenue thresholds create filing obligations in states owners never planned to enter. Each one is inexpensive to handle early and expensive to remediate late.

Election deadlines are unforgiving. An election made one month late can move a full year of income into the wrong treatment, which is why structuring reviews belong on the calendar rather than in the filing rush.
